Terms of Use

Provided by: MacMillan Supply Chain Group Inc. (“MacMillan” or “the Company”)

1. Authorized Use

The MMSCG App (“the App”) is a proprietary internal business application developed for use by MacMillan Supply Chain Group Inc.

Access is restricted to employees, officers, contractors and other individuals expressly authorized by Company management.

The App may only be used for legitimate Company business purposes and with accounts, systems and data sources approved by the Company. Unauthorized access or use is strictly prohibited.

2. Application Purpose and Functionality

The App connects to approved Company business systems, including accounting, customer relationship management (CRM), warehouse management and other operational platforms, to generate internal reports, dashboards and management insights.

The App operates on a read-only basis and does not create, modify, delete or transmit business records back to connected source systems.

Information displayed through the App is intended for internal reporting, analysis and decision support.

3. Acceptable Use

Authorized users agree to:

• Maintain the confidentiality of their login credentials and access permissions.
• Access and use the App only for authorized Company business activities.
• Protect financial, operational, customer, employee and other confidential Company information.
• Refrain from sharing reports or exporting information to unauthorized individuals or external parties.
• Avoid attempting to bypass security controls, access restrictions or system permissions.
• Not connect unauthorized third-party accounts, applications or data sources.
• Promptly report suspected unauthorized access, security incidents or data misuse to Company management.

4. Confidentiality and Data Protection

All business information accessed, processed or displayed through the App remains the property of the Company or the applicable data owner.

Users must handle such information in accordance with applicable Company confidentiality, information security and data protection policies.

Reports, dashboards and extracted information must not be distributed externally without appropriate authorization.

5. Data Accuracy and Disclaimer

The App is provided “as is” and “as available” for internal business use.

Reports and dashboards depend on information supplied by connected systems. The Company does not guarantee that such information will always be accurate, complete, current or uninterrupted.

Users are responsible for verifying information against the relevant source systems before making significant financial, operational or business decisions.

6. Limitation of Liability

To the maximum extent permitted by applicable law, the Company disclaims liability for losses or damages arising from inaccuracies, delays, interruptions or reliance on information provided through the App.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

7. Access Management and Termination

The Company reserves the right to grant, modify, suspend or revoke access to the App at any time in accordance with its internal policies.

Administrators of connected business systems may revoke or disconnect the App’s access to those systems at any time.

Access may also be terminated when an individual’s employment, contractual relationship or authorization ends.

8. Privacy and Information Handling

The App may process business information and personal information contained in approved connected systems, subject to applicable privacy laws and Company policies.

Information will be handled in accordance with the Company’s Privacy Policy and applicable data protection requirements.

9. Intellectual Property

The App, including its software, design, functionality and related materials, is owned by the Company or its applicable licensors.

Authorized users receive a limited, non-exclusive, revocable permission to use the App solely for approved internal business purposes.

No ownership rights are transferred to users.

10. Changes to These Terms

The Company may revise these Terms of Use to reflect changes in App functionality, security requirements, internal policies or applicable laws.

Updated terms will be published on the Company’s website with a revised effective or last-updated date. Continued use after users have been notified of material changes constitutes acceptance to the extent permitted by applicable law.

11. Governing Law

These Terms of Use are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.
